These Terms & Conditions (“Terms”) govern your access to and use of Continuity Log (“the Service”), an online screenplay continuity breakdown tool operated by Fantastikole Entertainment LLC (“we”, “us”, “our”). By signing up, subscribing to, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Continuity Log provides automated scene-by-scene hair and appearance continuity analysis, per-character continuity reports, and related export features from screenplay PDFs. We may update, modify, or remove features at any time.
2. Acceptance of Terms
By creating an account, subscribing, or continuing to use the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information and keep it updated.
4. Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that:
- violates any applicable law or regulation;
- infringes or misappropriates intellectual property rights;
- involves fraud, spam, malware, or security interference;
- attempts to reverse engineer, scrape, or abuse the Service;
- interferes with the integrity or performance of the Service or other users’ accounts.
You are responsible for any content you upload (such as screenplay files) and must have the right to upload and process it through the Service.
5. Intellectual Property
We retain all ownership rights in the Service, its software, design, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own production and business purposes during an active subscription.
You retain ownership of the content you upload. By uploading content, you grant us a limited license to process it solely for the purpose of providing the Service to you.
6. Payment, Billing, and Subscription Terms
The Service is offered on a subscription basis. The Pro plan is billed monthly at the price displayed at checkout. All payments are processed by our online reseller and Merchant of Record, Paddle.com.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
For complete payment, billing, tax, cancellation, and refund mechanics, please refer to Paddle’s Checkout Buyer Terms. Your subscription will automatically renew each month unless you cancel before the renewal date.
7. Service Level
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Continuity analysis is generated by automated systems and may not be perfectly accurate. You are responsible for reviewing outputs before relying on them in production.
8. Termination and Suspension
We may suspend or terminate your access to the Service, without notice, if you materially breach these Terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly violate our acceptable use policies. Upon termination, your right to use the Service immediately ceases, but you remain responsible for all charges incurred prior to termination.
9. Limitation of Liability
To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim. We will not be liable for any indirect, consequential, incidental, or special damages, including lost profits or data. Nothing in these Terms limits liability for fraud, death, or personal injury where required by law.
10. Indemnity
You agree to indemnify and hold harmless Fantastikole Entertainment LLC and its agents from any claims arising from your content, your use of the Service, or your violation of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
